International Paper announces the appointment of Santiago Arbelaez as the Chairman of the Paper and Packaging Board (P+PB) Board of Directors. This leadership appointment was made by USDA Secretary Tom Vilsack and marks a pivotal moment for the organization.
As the Chairman, Arbelaez will collaborate closely with the P+PB leadership team and the eight-member Board of Directors responsible for funding the Paper & Packaging – How Life Unfolds® campaign. The campaign is a national promotion program centered around sustainability within the paper and packaging sectors.
In addition to this appointment, Arbelaez will continue serving as the Vice President of Strategy for International Paper’s Industrial Packaging business, bringing a wealth of experience and strategic insight to his role as Chairman of the P+PB Board.

International Paper recently reported third quarter 2023 financial results.
Q3 2023 highlights include:
- Net earnings of $165 million ($0.47 per diluted share); Adjusted operating earnings (non-GAAP) of $224 million ($0.64 per diluted share)
- $۷۵ million of earnings achieved from Building a Better IP initiatives, bringing year-to-date to $195 million, exceeding full-year targets
- Cash provided by operations of $468 million, bringing year-to-date to $1.3 billion
- Returned $160 million to shareholders in dividends, bringing year-to-date to $679 million in share repurchases and dividends
- Completed the sale of our Ilim Joint Venture interest for $508 million
“Our third quarter results came in as expected, and we are encouraged by continuing demand recovery across our portfolio,” said Mark Sutton, Chairman and Chief Executive Officer. “We exceeded our full-year target for Building a Better IP through commercial and process improvement initiatives. Our operations continue to perform reliably with a focus on controlling costs. However, in this challenging macro environment, we are not satisfied with our absolute results. We are taking actions to structurally reduce fixed costs in our mill system, while optimizing our supply chain and investing in our box capabilities to grow with customers.”

International Paper announced a series of actions to further strengthen and optimize its manufacturing system to meet customers’ needs. The company will permanently close its containerboard mill in Orange, Texas, and will permanently cease production on two of its pulp machines – the #20 machine in Riegelwood, N.C., and the #4 machine in Pensacola, Fla.

International Paper announced that it has completed the sale of its 50% interest in Ilim SA, the holding company for its Ilim joint venture (JV), to its JV partners for $484MM (USD) in cash.
In addition, the Company completed the sale of its outstanding shares in JSC Ilim Group to its JV partners for $24MM (USD) in cash and is divesting other non-material residual interests associated with Ilim.
With the completion of these transactions, International Paper has divested all of its ownership interests in Ilim.

International Paper announced that Chairman and CEO Mark Sutton has requested that the Board of Directors move forward with the next phase of the company’s CEO succession plan. This phase in the process will include a comprehensive evaluation of internal and external candidates for Sutton’s successor. Sutton will continue in his role as chairman and CEO until his successor is in place.
“I am confident that this is the right time to initiate this phase of our multi-year succession plan,” said Sutton. “Our experienced leadership team, refined business portfolio, ongoing execution of our transformation strategy and strong balance sheet position the company for our next leader to capitalize on significant opportunities for profitable growth. International Paper announced that it has received notice of an unsolicited mini-tender offer by TRC Capital Investment Corporation to purchase up to 3,000,000 shares of International Paper Company common stock from International Paper shareholders. The offer represents approximately 0.86 % of International Paper’s shares of common stock outstanding as of the May 9, 2023 offer date. TRC Capital’s offer price of $30.67 per share is approximately 4.51% lower than the $32.12 closing price of International Paper common stock on the NYSE on May 9, 2023.
